No Purchase Necessary The 'Create-a-Transformer Second Life Contest' ('Contest') is sponsored by Paramount Pictures International ('Sponsor'). The Contest begins Wednesday 15th August 2007 at 9:00 AM GMT. The deadline for entries is Friday 7th September 2007 at 7:00 PM PST. The Contest ends on Monday 15th October 2007 at 7:00pm PST.

1. ELIGIBILITY: Open only to residents of Second Life, 18 years of age or older, except to employees, officers, directors, agents, representatives, and the immediate family members of Sponsor, its parent companies, affiliates, subsidiaries, advertising, promotion agencies and promotion partners. This Contest is void where prohibited by law.

2. HOW TO ENTER: NO PURCHASE NECESSARY. The Contest requires entrants to submit their entry to the competition as a video clip - or a link to a video clip - of no longer than 60 seconds. This must be sent by email to silverscreen@theppc.com, along with the entrant's Second Life avatar name. To be eligible, all entries for the Contest must be received by Friday 7th September 2007 at 7:00 PM PST, the Contest Expiration Date.

By entering, participants agree to be bound by these complete Terms & Conditions. Entrants may be required to provide a written acknowledgement of all terms and conditions of the Competition before receiving their Prize.

3. RIGHTS IN ENTRY: There is a limit of one (1) entry per person. Entries that are late (including delayed data transmissions), forged, illegible, mutilated, incomplete, misdirected, or otherwise not in compliance with these Terms & Conditions will be disqualified. By entering, entrant agrees that the entry does not violate any law, regulation, or any right of any third party. Sponsor reserves the right, in its sole discretion, to disqualify any entry which the Sponsor believes may be defamatory, obscene, profane, offensive, harassing, and inappropriate or that may infringe upon or violate another party's rights. Entrant exclusively assigns, and Sponsor shall exclusively hold, all rights, including the right to, or the right not to, edit, publish, use, adapt, exploit, or modify any entry online, in print, film, television, or in any other media for advertising and promotional or other purposes without compensation or notification to the entrant of any kind, except as prohibited by law. Sponsor may also dispose of entries. By submitting an entry, entrant exclusively assigns to Sponsor and its designees all rights in entry and agrees that Sponsor and its designees may exploit all elements of such entry in any and all media now known or not currently known, without compensation to entrant or any third party, unless prohibited by law.

By entering the Competition, entrants acknowledge that they may be required to be used in publicity without further consent or payment. Such publicity may include without limitation the entrant's name and/or likeness, voice, photographs and/or video footage of the entrant, biographical information provided by the entrants/winner and/or any statement made by them concerning the Competition and/or the Prize. Entrants agree that such elements may be used by the Sponsor in any and all media in perpetuity throughout the world as the Sponsor in its sole discretion sees fit.

4. SELECTION OF WINNERS: Sponsor will select a shortlist of no more than 5 finalists. Sponsor's selection decision is final. Finalists will be notified by e-mail on/about September 10th, 2007. If a potential finalist cannot be reached after a reasonable effort has been exerted during one (1) business day from the date of potential winner selection, or if he/she is found to be ineligible, or if he/she cannot or does not comply with these Terms & Conditions, he/she may be disqualified and, in Sponsor's sole discretion, an alternate finalist may be selected based on the same criteria. Finalists will be required to demonstrate their entries to a panel of judges selected by Sponsor at the Sector 7 'sim' in Second Life between 10:00 AM and 12:00PM PST on Thursday 13th September 2007. Winner will be notified by e-mail on/about September 14th, 2007.

5. PRIZES: ONE (1) GRAND PRIZE: One (1) grand prize winner will receive L$250,000 (Approx. US$1,000). The first installment of the prize (L$125,000) will be awarded on/about September 14th, 2007. The second installment of the prize (L$125,000) will be awarded on Monday October 15th 2007. The second installment of the prize will not be awarded if the winner has prevented the winning competition entry from being exclusively available free-of-charge to visitors to the Sector 7 sim until Monday October 15th 2007.

Total Approximate Prize Value: US$1,000. If a prize cannot be awarded due to circumstances beyond the control of the Sponsor, a substitute prize of equal or greater value will be awarded.

Prizes are as stated and non-transferable. No cash alternatives will be offered. If due to circumstances beyond Sponsor's control, the Sponsor is unable to provided the stated Prize(s), the Sponsor reserves the right to award a substitute Prize.

6. DISCLAIMERS: The Sponsor shall not be liable for any delay in performing or partial or total failure to perform any of its obligations to the winner under these Terms And Conditions if such delay or failure is caused by circumstances beyond the Sponsor's reasonable control including without limitation delays, changes, disruptions, cancellations, diversions or substitutions howsoever caused including without limitation, war, terrorist action or threatened terrorist action, strikes, hostilities, civil commotions, accidents, fire, flood or natural catastrophes arising without limitation out of or in connection with the activities of any third party and/or supplier.

The Sponsor shall not be liable to the winner and/or any third party for any loss or damage howsoever caused (whether in contract, tort (including negligence) or statutory duty or otherwise) arising out of or in connection with this Competition and/or the Prize other than death or personal injury caused by negligence of the Sponsor and/or the Sponsors personnel and/or deceit or fraud by Sponsor and/or Sponsor's personnel.

7. LAW AND JURISDICTION: These Terms & Conditions shall be governed by and construed in accordance with the laws of England. The English Courts shall have exclusive jurisdiction in respect of any matter or dispute arising under or in connection with these Terms & Conditions.
